我卖屋子想要省钱,买家跟卖家我们共用一位律师就好。

在一项交易的过程中,大家普遍的认知都知道会有卖家和买家。
那么大家是否知道这两方的利益完全不同,大家的立场也不一样?






在2005年律师酬劳法令下 (Solicitor Remuneration Order 2005),
里面的条例清楚的提到,为了避免利益冲突,
一位律师只能代表付给律师酬劳的哪一方,即买家(purchaser)或卖家(vendor),
律师无权向不是自己的客户收取酬劳,
除非在过程中必须替对方支出杂费费用,比如处理报税 (RPGT),宣誓,破产调查,土地调查,
在这样的状况下,律师才能象征式的向对方征收支出费用,
但绝非代表另外一方。

所以如果你听到两方用同一个律师,即意味者卖家并没有请律师维护自己的利益,
在整个买卖过程里面,律师最先以买方的利益为主,
并不为卖方做出任何责任。

那么卖方没有请律师可能会有什么样的后果?

  1. 买家律师无需向卖家汇报任何进度;
  2. 买家律师没有义务替你追逆重要文件下落或索取任何文件;
  3. 买家律师在没有义务在特别委托下,替卖家进行跟发展商的分割地契手续 (Perfection of Transfer and Charge);
  4. 买家律师没有义务替卖家与之前的律师进行任何交接工作;
  5. 如果地契有任何产权限制 (Restriction)产权负担 (encumbrances),买家律师没有义务替卖家进行任何法律程序,卖家必须为任何的拖延赔偿买家利息;
  6. 买家律师没有义务向卖家争取延迟利息 (late payment interest);
  7. 地契不见;
  8. 买卖过程已经超过合同时限;
  9. 一旦买家没有缴清卖家贷款,卖家必须持续承担贷款供期责任;
  10. 买家银行延迟放款;
  11. 买家律师延迟出钱;
  12. 地税门牌税,indah water,水电还是出现之前业主的名字;
  13. 报税出现严重错误,导致产业盈利税错误;
  14. 没有及时在买卖合同签署60天内报税,卖家必须承担罚款,严重可能导致卖家禁止出境;
  15. 买方投诉不合理的收楼条件,强逼卖家维修或做出不合理的要求;
  16. 租客没有得到妥善处理或沟通,买家拒绝租客交接;
  17. 买家律师有权不接受卖家的任何指示,也有绝对权力不跟从卖家任何指示;
  18. 如果买家决定撤回交易导致任何争议,买家律师无需为卖家做出任何协商。
 



总结来说,卖家如果因为想要省区几千块的律师费,
决定不委托自己的律师,
在签署的过程中,放弃代表的一方,必须签署放弃代表( Declaration of Non-Representation) 以及免责声明 (Letter of Disclaimer),
一旦上述事情发生,
律师法律上无需对未代表的一方负责。


*上面的原则也适用于发展商与买家的交易过程,
律师也只能代表一方,即发展商,或买家。
