Yes, you may apply to strike off ABC Sdn. Bhd., provided it meets the conditions under Section 550 of the Companies Act 2016.
Conditions for Striking Off a Company (Section 550, CA 2016):
To apply for striking off under Section 550, ABC Sdn. Bhd. must:
  1. Have ceased operations and is not carrying on business.
  2. Have no assets or liabilities.
  3. Have no outstanding penalties or compounds with SSM.
  4. Have no outstanding tax liabilities with LHDN, EPF, SOCSO, or other agencies.
  5. Have all directors’ consent.
  6. Not be involved in any legal proceedings.
  7. Not be a holding company or not have any subsidiaries.
If these conditions are met, you can file a Striking-Off Application (Form Section 550) with the Companies Commission of Malaysia (SSM).
 Important Notes:
  • If ABC Sdn. Bhd. is still active, or has assets, liabilities, or regulatory obligations, you must resolve those before applying for strike-off.
  • If ABC Holding Sdn. Bhd. was meant to be the “parent,” there’s no issue with keeping it and striking off the other, as long as the rules above are satisfied.
