To apply for striking off under Section 550, ABC Sdn. Bhd. must:
- Have ceased operations and is not carrying on business.
- Have no assets or liabilities.
- Have no outstanding penalties or compounds with SSM.
- Have no outstanding tax liabilities with LHDN, EPF, SOCSO, or other agencies.
- Have all directors’ consent.
- Not be involved in any legal proceedings.
- Not be a holding company or not have any subsidiaries.
- If ABC Sdn. Bhd. is still active, or has assets, liabilities, or regulatory obligations, you must resolve those before applying for strike-off.
- If ABC Holding Sdn. Bhd. was meant to be the “parent,” there’s no issue with keeping it and striking off the other, as long as the rules above are satisfied.
